Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the SpokenAct mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you and WiscAI, LLC ("we," "us," or "our").

2. Service Description

SpokenAct is an AI-powered voice notes application that allows you to record voice memos, transcribe them on-device using Apple's speech recognition, and generate AI-powered summaries, action items, key points, and topic tags. The App provides both free and premium subscription tiers.

3. Eligibility

You must be at least 13 years of age to use SpokenAct. If you are between 13 and 18 years of age, you may only use the App with the consent and supervision of a parent or legal guardian. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Account Responsibilities

When you create a SpokenAct account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials secure and not share them with third parties
• Notify us immediately at support@wiscai.com if you suspect unauthorized access to your account
• Accept responsibility for all activities conducted through your account

5. Acceptable Use

You agree to use SpokenAct only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App for any illegal, harmful, or fraudulent activity
• Record conversations without the consent of all parties where required by applicable law
• Attempt to reverse-engineer, decompile, or disassemble the App
• Interfere with or disrupt the App's servers or infrastructure
• Use automated systems or bots to access the App or its features
• Transmit content that is defamatory, obscene, or infringes on the rights of others
• Circumvent or attempt to circumvent subscription restrictions or usage limits

6. Intellectual Property

The SpokenAct App, including its design, code, features, branding, logos, and documentation, is the intellectual property of WiscAI, LLC and is protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

7. User Content

You retain full ownership of all content you create using SpokenAct, including your voice recordings, text transcripts, edited notes, and any other user-generated content. We do not claim any ownership rights over your content.

By using the AI summarization features, you grant us a limited license to process your text transcripts through our AI service solely for the purpose of generating summaries, action items, and related outputs for your use.

We do not use your content — including voice recordings, transcripts, or AI-generated outputs — to train, fine-tune, or improve any artificial intelligence or machine learning models.

8. AI-Generated Content

Summaries, action items, key points, and topic tags generated by SpokenAct's AI features are provided on an "as-is" basis. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying AI-generated content before relying on it.

We do not guarantee that AI-generated summaries will be complete, accurate, or suitable for any particular purpose. AI-generated content should not be used as a substitute for professional advice or as the sole record of important information.

9. Subscriptions & Billing

SpokenAct offers premium subscription plans managed through the Apple App Store and RevenueCat. By subscribing to a premium plan, you agree to the following:

• Billing: All payments are processed by Apple through the App Store. We do not collect or store your payment information.
• Subscription plans: Weekly ($4.99/week), Monthly ($9.99/month), and Annual ($59.99/year) plans are available, each with a free trial period.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date.
• Free trials: If offered, free trial periods convert to paid subscriptions unless canceled before the trial ends.
• Price changes: We may adjust subscription prices. Apple will notify you of any price changes, and you will have the option to cancel before the new price takes effect.

10. Free Tier

SpokenAct offers a free tier that includes unlimited voice recording and on-device transcription, plus a limited number of AI summaries. We reserve the right to modify the features and limits of the free tier at any time. Premium features require an active subscription.

11. Cancellation

You may cancel your subscription at any time through your device's Settings → [your name] → Subscriptions, or through the App Store app. Upon cancellation:

• You will retain access to premium features until the end of your current billing period
• No refunds are provided for partial billing periods
• Your data (recordings, transcripts, summaries) will remain accessible, but new AI summaries will be subject to free tier limits

For refund requests, please contact Apple Support directly, as all billing is managed through the App Store.

12. Limitation of Liability

To the maximum extent permitted by applicable law, WiscAI, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of or inability to use the App.

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

13. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

14. Medical & Professional Disclaimer

SpokenAct is a productivity tool for organizing voice notes and is not intended to provide medical, legal, financial, or other professional advice. AI-generated summaries and action items should not be relied upon as professional guidance. Always consult qualified professionals for decisions that affect your health, legal rights, finances, or other important matters.

15. Indemnification

You agree to indemnify and hold harmless WiscAI, LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms, your use of the App, or your failure to obtain legally required consent before recording any individual.

16. Termination

We reserve the right to suspend or terminate your access to SpokenAct at any time, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to other users, our business, or third parties. Upon termination:

• Your right to use the App will immediately cease
• We may delete your account and associated data
• Provisions of these Terms that by their nature should survive (including limitation of liability, disclaimers, and governing law) will continue to apply

You may also terminate your account at any time by using the Delete Account feature in Settings.

17. Changes to Terms

We may modify these Terms from time to time. When we make changes, we will update the "Effective Date" at the top of this page and notify you through an App update. Your continued use of SpokenAct after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should stop using the App and delete your account.

18. Dispute Resolution

Before initiating formal proceedings, you agree to contact us at support@wiscai.com to attempt informal resolution for at least 30 days. If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Madison, Wisconsin. You agree that disputes will be resolved individually, not as class actions.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved in the state or federal courts located in Wisconsin.
